OVERVIEW

Pro Products is a brand of Foundation Outdoor Group, Inc. This website, https://proproducts.us, and store are operated by Foundation Outdoor Group, Inc., doing business as Mud Hole Custom Tackle. Throughout these Terms, “we,” “us,” and “our” refer to Foundation Outdoor Group, Inc.

All Pro Products orders, payments, fulfillment, returns, warranty claims, and customer service are handled by Mud Hole Custom Tackle. Order confirmations, payment records, shipping notifications, and customer service communications may identify Pro Products, Mud Hole Custom Tackle, or Foundation Outdoor Group, Inc.

These Terms of Service (“Terms”) govern your use of this website and its information, content, tools, products, and services (collectively, the “Services”). Our store uses Shopify's ecommerce platform.

By accessing or using the Services or placing an order, you agree to these Terms to the extent permitted by applicable law. If you do not agree, do not use the Services or place an order. Our Privacy Policy explains how we handle personal information; acceptance of these Terms does not replace consent where separate consent is required by law.

SECTION 1 — ACCESS AND ACCOUNT

You must be of legal age to enter into a binding contract in your jurisdiction to place an order or create an account. If acting for a business, you represent that you are authorized to bind that business.

Provide accurate, current, and complete account, billing, payment, and shipping information. You are responsible for protecting your account credentials and for activity you authorize through your account. Notify Mud Hole promptly if you suspect unauthorized access. You may not sell or transfer your account without our written permission.

SECTION 2 — OUR PRODUCTS

We aim to describe and display products accurately. Colors and appearance may vary with screen settings, lighting, and normal manufacturing variations. These variations do not excuse supplying a materially different or nonconforming product.

We may update product descriptions, specifications, availability, and offerings, or discontinue products. Changes apply prospectively and do not authorize us to materially change an accepted order without your agreement.

Read and follow applicable product labels, instructions, warnings, and Safety Data Sheets. Use appropriate protective equipment and follow handling, ventilation, storage, and disposal instructions. Technical guidance and demonstrations supplement, rather than replace, product-specific instructions. Contact Mud Hole if you need product or safety documentation.

SECTION 3 — ORDERS

Submitting an order is an offer to purchase. An automated order acknowledgment confirms receipt of your order and does not, by itself, constitute acceptance. Unless we expressly accept an order earlier, acceptance occurs when we ship the products. For separately shipped items, acceptance applies to the items shipped.

Subject to applicable law, we may decline, limit, or cancel an order for reasons such as unavailable inventory, an error in pricing or product information, payment verification issues, suspected fraud, shipping restrictions, or a violation of these Terms. We will notify you using the contact information provided and promptly refund payments for canceled items as required by law.

If a correction would increase your order total or materially change the products ordered, we will obtain your approval before proceeding. We will not add products, make material substitutions, or impose additional charges without your authorization.

Contact Mud Hole promptly to request an order change or cancellation. Processing begins promptly. Once an order is released to the warehouse, routine changes and cancellations cannot be accommodated; eligible items must instead follow the return process. Place a separate order for additional items or quantities; combining orders and shipping charges is not guaranteed. Statutory cancellation rights and the unshipped preorder or backorder provisions below remain effective.

We serve individual customers and business customers, including professional rod builders. Dealer, distributor, wholesale, or other separately negotiated written agreements may establish additional terms. Where they conflict with these Terms, the specific written agreement controls for the transaction it covers.

Preorders and backorders

Unless the listing states otherwise, payment for preorders and backorders, including applicable taxes and shipping, is collected when you order. Estimated availability may change. Contact Mud Hole to request cancellation of an unshipped preorder or backorder. If shipment is delayed, we provide the legally required notice and consent or refund options; unavailable items are refunded with attributable taxes and shipping charges.

Returns, refunds, exchanges, and product warranties

Mud Hole administers returns for this store. The following standard return terms apply, together with Mud Hole's Refund Policy at https://mudhole.com/policies/refund-policy. For new purchases governed by these Terms, the specific timing and exceptions stated below control if that policy contains inconsistent language. A more favorable express promise made for your purchase, an applicable product warranty, and mandatory legal rights remain effective.

Request a Return Merchandise Authorization (RMA) within 30 days of delivery and ship eligible merchandise back within 14 days after the RMA is issued. Include proof of purchase and mark the RMA on the outer package. Goods must be unused, unmodified, resalable, and complete with original packaging and accessories. Returns require inspection and approval; unauthorized returns may be delayed or declined.

For discretionary returns, we may deduct a 10% restocking fee and applicable promotional benefits disclosed with your purchase. Original shipping and handling are nonrefundable, and you must prepay return shipping. Approved refunds go to the original payment method; allow up to two weeks after receipt for inspection and processing, plus your financial institution's posting time. Authorized eligible returns may also be brought to the Oviedo store.

Books, videos, software, special orders, personalized or custom goods, used or permanently assembled merchandise, and items identified as final sale are excluded from discretionary returns. Closeout and liquidation purchases are final sale; an ordinary sale discount alone does not make a product nonreturnable. Gift cards and store credit are nonrefundable except as required by law.

Contact Mud Hole promptly about incorrect, damaged, or defective merchandise. Keep the item and packaging pending instructions. For confirmed fulfillment errors or items arriving damaged or defective, we arrange the appropriate remedy and required return shipping at no cost; no restocking fee applies. Do not send regulated materials or any warranty return without shipping instructions.

Product-specific warranties remain separate from discretionary returns. Mud Hole will direct you through the applicable claim process, which may involve the manufacturer. Refer to the warranty supplied or advertised for the product and https://mudhole.com/pages/warranty-information. These Terms do not establish a uniform warranty period, transferability rule, or service fee across brands, or shorten existing warranty coverage.

Mandatory consumer rights, including applicable withdrawal and statutory guarantee rights, override conflicting return restrictions, fees, exclusions, and deadlines.

SECTION 4 — PRICES AND BILLING

Prices, discounts, and promotions may change for future orders without notice. Subject to correction of errors under Section 12, the price displayed at checkout when you submit your order applies to that order. Later price changes do not alter an accepted order.

Applicable taxes, shipping, and handling charges will be shown at checkout where calculable. International duties, import taxes, brokerage fees, and other destination charges may be collected separately unless expressly included in your order total. We will disclose known additional charges as required by law.

Promotions may have separate eligibility requirements, exclusions, and expiration dates. Specific promotion terms control over conflicting general terms for that promotion.

You represent that you are authorized to use the payment method supplied and authorize charges for the agreed order total. Separate approved business credit arrangements, if any, are governed by their applicable terms.

 

Checkout tax estimates may be corrected to reflect the tax legally due. We will contact you if additional payment authorization is needed. Tax-exempt buyers must provide valid documentation before ordering and allow time for review; a later submission does not guarantee a refund. Payment authorizations can temporarily appear alongside completed charges, with release timing controlled by your financial institution. Never email full payment-card details.

SECTION 5 — SHIPPING AND DELIVERY

Shipping options, charges, exclusions, and handling conditions are described in Mud Hole's Shipping Policy:

The shipping service and charges disclosed for your order at checkout apply, including any expressly stated brand-store offer. Free-shipping offers remain subject to geographic, product, oversize, and customer-program exclusions. Fishing rods and blanks, bulky items, restricted materials, and expedited services may incur additional charges or service restrictions. Mud Hole Advantage thresholds apply only to qualifying program orders.

Processing time is separate from carrier transit time. Estimates are not guarantees unless the selected service expressly provides one. Rush processing and expedited delivery are separate services; any express guarantee remains subject to its disclosed conditions. We select the economical carrier for qualifying free-shipping orders. Backordered items ship without an additional shipping charge under the linked policy. Signature requirements may apply.

International recipients are responsible for destination duties, taxes, customs requirements, and other applicable charges unless expressly included. Restrictions on hazardous materials, destinations, and address types apply as disclosed for the item and shipping service. Contact Mud Hole before ordering if a shipping arrangement requires confirmation.

Available shipping methods, restrictions, and charges are provided at checkout or before an order is completed. Shipping and delivery dates are estimates unless expressly guaranteed. Carrier delays, customs processing, weather, and other events may affect delivery.

If we cannot ship within the stated timeframe, or within the timeframe required by law when none is stated, we will provide the required delay notice and cancellation or refund options. Nothing in these Terms waives those obligations.

For consumer purchases, risk of loss passes upon delivery to you or your designated recipient at the delivery address, subject to any mandatory law providing greater protection. Different arrangements may apply where you independently select a carrier we did not offer, to the extent permitted by law. Business orders governed by a separate written shipping agreement follow that agreement.

Provide a complete and accurate delivery address. Contact Mud Hole promptly regarding missing, damaged, or incorrect shipments, and retain packaging when practical to assist investigation. Responsibility for additional charges caused by an incorrect address or refused delivery will be determined according to the circumstances and applicable law; any proposed charge will be explained before collection.

SECTION 6 — INTELLECTUAL PROPERTY

The Services and their original content, branding, designs, images, videos, text, and other materials are owned by Foundation Outdoor Group, Inc. or their respective owners and are protected by applicable intellectual property laws.

You may access the Services to shop, evaluate products, manage purchases, and use instructional materials for lawful personal or internal business purposes. You may download or print instructions and product documentation made available for that purpose, retaining proprietary notices.

Except as permitted by law, these Terms, or written authorization, you may not reproduce, republish, distribute, modify, sell, or commercially exploit our website content or use our trademarks in a manner suggesting an unauthorized affiliation or endorsement. Purchasing a product does not transfer intellectual property ownership.

SECTION 7 — OPTIONAL TOOLS

The Services may provide access to optional third-party tools or features. Separate provider terms may apply. Review those terms before using the tools.

To the extent permitted by law, optional third-party tools are made available “as is” and “as available,” without warranties from us beyond those required by law. We do not control independent providers or guarantee the availability or performance of their tools. This provision does not eliminate our responsibilities for our own conduct or providers acting on our behalf where applicable law makes us responsible.

New tools or features we add to the Services are subject to these Terms and any additional terms disclosed for them.

SECTION 8 — THIRD-PARTY LINKS

The Services may include links, materials, or embedded functionality supplied by independent third parties. A link does not necessarily constitute endorsement. We do not control independent third-party websites, products, or privacy practices.

Review the applicable terms and policies before using an independent third-party website or completing a transaction there. Questions about purchases from an independent seller should be directed to that seller. This provision does not limit our obligations concerning products we sell or services we provide.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Shopify provides the ecommerce platform used for this store. Purchases from this store are made with Foundation Outdoor Group, Inc., doing business as Mud Hole Custom Tackle, through this brand store, rather than with Shopify.

Mud Hole handles product, order, return, refund, and warranty matters. Shopify is not the seller or manufacturer of our products. Nothing in these Terms releases Shopify or any other party from responsibilities or liabilities that cannot lawfully be excluded.

SECTION 10 — PRIVACY POLICY

Our Privacy Policy describes how personal information is collected, used, and disclosed in connection with the Services:

Information may be processed by service providers in other countries as described in the applicable privacy notices. These Terms do not expand the data uses described in those notices or override your privacy rights and choices.

SECTION 11 — FEEDBACK

You retain ownership of reviews, photos, suggestions, and other content you submit. For content you submit for public display or promotional use, you grant us a nonexclusive, worldwide, royalty-free license to reproduce, display, distribute, and reasonably format that content to operate and promote our products and Services. We may permit service providers to exercise this license on our behalf. We will not materially alter the meaning of a review.

This license does not authorize publication of private customer service correspondence or personal information contrary to our Privacy Policy or applicable law. Unless separately agreed, we are not required to pay for unsolicited suggestions or feedback.

Submit only content you have the right to share. Disclose material connections, compensation, or incentives where required. Do not post unlawful content, impersonations, malicious code, or content that infringes others' rights.

We may moderate spam, irrelevant material, unlawful content, or other content violating these Terms. We will not prohibit or penalize honest reviews or remove a review solely because it is negative. Nothing in these Terms restricts lawful complaints, reports to authorities, or truthful statements about your experience.

SECTION 12 — ERRORS, INACCURACIES AND OMISSIONS

Occasional errors may affect prices, descriptions, availability, promotions, shipping charges, or other information. We may correct these errors and, where permitted by law, decline or cancel affected orders, including after submission or payment.

If an error affects your order, we will notify you and explain the available options. We will not charge a higher price or supply a materially different item without your approval. If the order is canceled, we will promptly refund amounts paid for the canceled portion, including associated refundable charges, as required by law.

This provision does not permit retroactive price increases on completed purchases or override mandatory consumer protections.

SECTION 13 — PROHIBITED USES

You may not use the Services to commit fraud, violate applicable law, infringe intellectual property or privacy rights, threaten or unlawfully harass others, impersonate another person, submit knowingly false transaction information, or distribute malicious software.

You may not access accounts or systems without authorization, circumvent security controls, disrupt the Services, send unsolicited bulk communications, or collect personal information about others without a lawful basis. Automated access that bypasses technical restrictions or materially burdens the Services is prohibited without permission. Ordinary search-engine indexing and uses protected by law are not prohibited by this paragraph.

These restrictions do not prohibit legitimate business purchases, authorized resale arrangements, honest reviews, or lawful reporting of concerns.

SECTION 14 — TERMINATION

We may restrict or suspend access when reasonably necessary to address security risks, fraud, unlawful conduct, or material violations of these Terms. We may also discontinue website features. We will provide notice where reasonably practicable or legally required.

Termination does not eliminate payment obligations already incurred, our obligations concerning accepted orders and required refunds, or applicable warranty and consumer rights. Provisions that by their nature are intended to survive, including intellectual property provisions and lawful liability limitations, will continue to apply.

SECTION 15 — DISCLAIMER OF WARRANTIES

TO THE EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL INFORMATIONAL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE WEBSITE OPERATION. GENERAL GUIDANCE DOES NOT GUARANTEE A PARTICULAR RESULT FOR EVERY MATERIAL, TECHNIQUE, OR APPLICATION.

THIS WEBSITE DISCLAIMER DOES NOT DISCLAIM EXPRESS PRODUCT WARRANTIES, CHANGE AGREED PRODUCT SPECIFICATIONS, OR EXCLUDE IMPLIED WARRANTIES OR OTHER RIGHTS THAT APPLICABLE LAW PROTECTS. PRODUCTS REMAIN SUBJECT TO THEIR APPLICABLE EXPRESS WARRANTIES AND MANDATORY LEGAL WARRANTIES. NOTHING HERE DISCLAIMS IMPLIED WARRANTIES WHERE FEDERAL OR STATE LAW PROHIBITS SUCH A DISCLAIMER.

SECTION 16 — LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY APPLICABLE LAW, FOUNDATION OUTDOOR GROUP, INC., INCLUDING ITS PRO PRODUCTS BRAND AND MUD HOLE CUSTOM TACKLE OPERATIONS, AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE SERVICES OR PRODUCTS, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.

THIS LIMITATION DOES NOT EXCLUDE OR LIMIT LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY TO THE EXTENT LIABILITY CANNOT LAWFULLY BE LIMITED, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DAMAGE EXCLUSIONS OR LIMITATIONS. IN THOSE JURISDICTIONS, THESE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED.

SECTION 17 — INDEMNIFICATION

To the extent permitted by law, you agree to indemnify Foundation Outdoor Group, Inc. and its officers, employees, and agents against third-party claims and reasonable associated costs to the extent caused by your unlawful conduct, infringement of a third party's rights, or material breach of these Terms. This obligation does not apply to claims caused by our negligence, misconduct, defective products, or breach of our obligations, or merely because you lawfully use the Services.

We will give reasonably prompt notice of a claim and a reasonable opportunity to participate in its defense. No settlement imposing an admission, payment, or other obligation on you may be made without your consent, which will not be unreasonably withheld.

SECTION 18 — SEVERABILITY

If a provision is found invalid or unenforceable, it will be enforced only to the extent permitted by law or severed if necessary. The remaining provisions will continue in effect unless applicable law requires otherwise.

SECTION 19 — WAIVER; ENTIRE AGREEMENT

Failure to enforce a provision does not waive the right to enforce it later.

These Terms, the applicable policies expressly referenced here, accepted order details, and any separate applicable written agreement govern the Services and purchases. A specific written product warranty or negotiated agreement controls over conflicting general terms for its subject matter. Nothing here excludes representations or obligations that cannot lawfully be excluded.

SECTION 20 — ASSIGNMENT

You may not transfer your contractual obligations under these Terms without our written consent, except as permitted by law. This does not, by itself, prohibit lawful transfer of products you own or rights under an expressly transferable warranty.

We may assign these Terms in connection with a merger, restructuring, or transfer of the relevant business, provided the assignment does not reduce your existing contractual or statutory rights. We will give notice where required by law.

SECTION 21 — GOVERNING LAW

These Terms are governed by Florida law and applicable United States federal law, without regard to conflict-of-laws rules, except where mandatory law requires otherwise.

Subject to nonwaivable consumer rights, disputes will be brought in the state courts located in Seminole County, Florida, or, where federal jurisdiction exists, the United States District Court for the Middle District of Florida. The parties consent to jurisdiction in those courts to the extent permitted by law.

If you are a consumer entitled to mandatory protections under the laws of your place of residence, these Terms do not deprive you of those protections or require you to bring a claim in a forum where such a requirement is unenforceable. These Terms do not impose mandatory arbitration or a class-action waiver.

SECTION 22 — HEADINGS

Headings are for convenience and do not alter the meaning of these Terms. References to “including” are illustrative rather than exhaustive.

Mandatory legal protections take priority over conflicting language in these Terms. Nothing here restricts your ability to contact a regulator, exercise a statutory remedy, or make a legally protected complaint.

SECTION 23 — CHANGES TO TERMS OF SERVICE

We may update these Terms by posting a revised version on this page and providing any notice or obtaining any consent required by law. Material changes will take effect on the date stated in the accompanying notice.

Changes apply prospectively. They do not retroactively change accepted orders, reduce existing product warranty coverage, or remove rights associated with an existing dispute without a lawful basis and any required agreement. Continued use of the Services after changes take effect constitutes acceptance only to the extent permitted by law.
